Terms and conditions

In brief (a summary with no contractual value; the text below governs)

  • The 3S service is for professionals only.
  • The contract is concluded through the written acceptance of the individual 3S offer by the Client's representative, when 3S receives the acceptance; 3S confirms receipt in writing.
  • The indicative prices are on the pricing page; the price owed is in the offer. The invoice is payable within 14 days of its date.
  • The documents remain the Client's. 3S processes them only to provide the service to the Client, on the Client's instructions and under the data processing agreement (DPA). After termination of the contract, 3S keeps the activity log of the Account for at most 3 years, solely for the establishment, exercise or defense of legal claims (15.9).
  • The AI assistant can make mistakes. Checking the cited document remains the Client's responsibility.
  • The Client can terminate the contract at any time, on 30 days' notice, with a data export and without switching charges. The offer may provide for a penalty for termination before the end of the initial term.
  • The law and courts of the Republic of Moldova apply, except for the standard contractual clauses in the DPA for clients in the European Union and the European Economic Area.

Clauses we ask you to read carefully: 1.7 (no additional conditions), 4.8 (electronic signature), 6.5 (3S access to the information concerned by a notice), 8.5 (price increases), 9 (term, renewal, termination), 10 (suspension and restrictions), 13 (limitation of liability), 14 (changes to the terms), 16 (governing law and courts).

1.2 The Client. The Client is the company, sole proprietor or other person that contracts with 3S for purposes related to its trade, business or profession (Civil Code, Art. 3(2)).

1.3 Professionals only. 3S services are offered to professionals only: companies, sole proprietors and other persons acting for purposes related to their trade, business or profession. We do not enter into contracts with consumers, meaning natural persons acting for personal purposes.

1.4 Who accepts. The contract is accepted by a person entitled to represent the Client. On accepting, that person declares: "I declare that I act on behalf of the company named, with authority, and for purposes related to its professional activity."

1.5 If the Client turns out to be a consumer. If it is established that the Client acts predominantly for personal purposes (Civil Code, Art. 3(1)), 3S may refuse the contract or terminate it by notice and refund the fees paid in advance for the period after termination. The Client informs us without delay if its situation changes. Nothing in these terms removes the mandatory rights that the law would give a consumer.

1.6 What forms part of the contract. The contract consists of:

  • the individual offer;
  • these terms, including the Notice and action page, which also contains the acceptable use rules;
  • the Data Processing Agreement ("DPA").

The Privacy policy and the Artificial intelligence in 3S services page are for information only and add no obligations for the Client beyond those in these terms. If the documents conflict, the following prevail, in this order: the DPA (for personal data), the individual offer, these terms.

1.7 No additional conditions. The 3S offer and these terms do not admit additional or different conditions. Any such conditions communicated by the Client, including in its general purchasing conditions, are rejected, absent written acceptance by 3S.

2. Definitions

  • Service: the 3S online platform described in section 3, in the version stated in the offer.
  • Account: the Client's space in the platform.
  • User: a person whom the Client authorizes to use the Account.
  • Client Documents: the files, the text extracted from them, their metadata and any other content that the Client or Users upload or generate in the Account.
  • Offer: the individual offer issued by 3S.
  • Working day: a day from Monday to Friday, other than public holidays of the Republic of Moldova.

3. The Service

3.1 What we offer. The Service is an online platform for digital archiving and document search. It stores the Client Documents, extracts the text from them, indexes them and makes them searchable. An artificial intelligence (AI) assistant answers questions about the documents and shows the sources on which the answer relies (section 7). The platform is used through a browser.

3.2 What these terms do not cover. The preparation and scanning (digitization) of paper documents and the physical storage of the originals are outside these terms; these services are provided only under a separate offer and a separate agreement. 3S does not provide legal, accounting or tax advice.

3.3 What the offer includes. The modules, the number of Users, the volume and the beta features included are set out in the offer. A pilot on the Client's documents, before the commercial offer, is also carried out on the basis of a pilot offer accepted under section 4, with these terms and with the DPA; 3S does not receive or process any Client Documents before that acceptance.

3.4 Beta features. Indicating the exact page of the source, asking questions in English about documents in Romanian, and any feature that the offer describes as such, are in beta. A beta feature is tested together with Clients: it may be incomplete, may be changed or stopped, and 3S does not guarantee its availability or accuracy.

3.5 Technical partners and subcontractors. 3S uses technical partners and subcontractors for the platform, for hosting and for AI models. Those who receive the Client Documents are listed on the Platform sub-processors page. 3S is liable to the Client for them as for its own acts, within the limits of section 13.

3.6 Availability. We make reasonable efforts to keep the Service continuously available. Planned maintenance that interrupts it is announced in advance, by email. We do not guarantee an error-free or uninterrupted Service. Service levels apply only if the offer provides for them.

3.7 Support. The Client can write to us at contact@3s.md or on WhatsApp at +373 60 055 599. A person replies, in English or Romanian. The Client does not send documents containing personal data of third parties through these channels; it uploads them to the Account (DPA, Art. 3.6).

3.8 Security. 3S applies technical and organizational measures appropriate to the risk to protect the Client Documents, as described in the DPA. On request, 3S provides the Client, in writing, with a description of these measures and of the location of the data, before the contract is concluded and for its duration. We cannot guarantee that no incident will occur.

4. Conclusion of the contract

4.1 The website is not an offer. The 3S pages are for information only and do not bind 3S (Civil Code, Art. 1029(3)). The offer is the individual document issued by 3S: it contains the services, the price, the term and, if there is one, the early termination penalty. It is valid for 30 days from issue, unless it states otherwise. After that period it can no longer be accepted.

4.2 Steps to conclude the contract. Before accepting, the Client is informed of the steps to conclude the contract (Law No. 284/2004, Art. 21(3)(a)):

  1. 3S sends the Client, by email, the written offer, together with these terms and the DPA, in their dated version. The offer contains the details of the Client and of its representative, the declaration set out in 1.4, which the representative makes by accepting the offer, and the items required by the DPA (Art. 1.4 and Annex 3), including the Client's role, the address for notices, the point of contact for incidents and, where applicable, the State of establishment, the competent supervisory authority and the contacts of the Client's controllers;
  2. the Client reads the offer, the terms and the DPA and checks the details in the offer; if it finds an error, it asks for it to be corrected (4.3);
  3. the Client's representative accepts the offer in writing, either by signing it and sending it back or by an acceptance email (4.8);
  4. 3S confirms receipt of the acceptance in writing, by email (4.4).

4.3 Correcting errors. Before acceptance, the Client can ask for any error in the offer to be corrected, and 3S sends it the corrected offer. After acceptance, it asks for correction at contact@3s.md.

4.4 When the contract is concluded. The contract is concluded when 3S receives the acceptance (Civil Code, Art. 1035(1)). 3S confirms receipt of the acceptance by email, without delay (Law No. 284/2004, Art. 25¹).

4.5 Storage and access. 3S keeps the contract: the offer, the acceptance and the confirmation, together with the terms and the DPA that accompanied the offer. The Client receives the terms and the DPA with the offer, in a form that it can keep and reproduce (Law No. 284/2004, Art. 21(3)(b) and (4)).

4.6 Languages. The contract can be concluded in Romanian or in English, at the Client's choice (Law No. 284/2004, Art. 21(3)(d)).

4.7 Codes of conduct. At the date of the last update, 3S does not subscribe to any code of conduct within the meaning of Art. 27 of Law No. 284/2004.

4.8 Electronic signature. The Client's representative accepts the offer either by signing the offer, by hand or with a qualified electronic signature, or by an acceptance email sent from the representative's email address stated in the offer. The parties agree that the acceptance email stands in place of a signature and produces the effects of a handwritten signature for this contract (Law No. 124/2022, Art. 40(2) and (3)). Method of verification: the email comes from the representative's address stated in the offer, and 3S confirms receipt of the acceptance to the same address. The person who accepts declares and warrants that they are authorized to conclude the contract on behalf of the Client (Law No. 124/2022, Art. 43(1)(a)). The Client keeps access to that email address confidential and is liable for its misuse until it informs 3S that it has been compromised. 3S keeps the proof of acceptance (4.9) confidential and protected against alteration, and is liable for damage caused by breaching these obligations, under section 13. The Client may ask for the terms, the offer or the DPA to be signed with a qualified electronic signature or by hand, and 3S agrees. For high-value contracts, 3S may ask for such a signature.

4.9 Acceptance log. As proof of the contract, we keep the offer, together with the terms and the DPA that accompanied it, in their dated version, the Client's written acceptance, with the declaration set out in 1.4, and our confirmation, each with its date and time, as well as the name and IDNO (or foreign tax code) of the company and the name, position and email address of the representative who accepted. We keep them for the duration of the contract and for 3 years after termination, the length of the general limitation period (Civil Code, Art. 391(1)).

4.10 Written form. Emails and other electronic communications have the value of written communications (Law No. 284/2004, Art. 18; Civil Code, Art. 321(2)).

5. The Account and Users

5.1 The Client decides who the Users are and, to the extent that the Service allows, what rights each has. It is liable for their actions in the Account as for its own.

5.2 The Client keeps the access details secret, does not give them to anyone other than authorized Users and informs us without delay if it suspects unauthorized access.

5.3 The Client keeps the details of the Account and of the Users (name, business email, role) up to date.

5.4 The Client does not circumvent the limits in the offer, such as the number of Users or the volume.

6. Client Documents and use of the Service

6.1 Rights. The Client Documents remain the property of the Client or of the entitled third parties. 3S acquires no right in them, other than the one in 6.2.

6.2 License to 3S. The Client grants 3S a non-exclusive right, valid for the duration of the contract and the retrieval period in 15.8, to store, index, read and process the Client Documents, directly or through the subcontractors on the sub-processor list, solely to provide the Service to the Client and to deal with the notices and orders referred to in 6.5.

6.3 What the Client warrants. The Client warrants that it has the right to upload and process the Client Documents in the platform and that it has a legal basis for the personal data in them. It is liable, in accordance with the law, for the content of the information it stores in the platform (Law No. 284/2004, Art. 11). Special-category data, for example health data, is uploaded only if the Client has a legal basis for it.

6.4 Acceptable use. The Client and the Users comply with the acceptable use rules on the Notice and action page, which forms part of these terms. The page also describes the restrictions we may impose, our moderation procedures, measures and tools, and the rules of procedure for reviewing decisions (Regulation (EU) 2022/2065, Art. 14(1)).

6.5 No general monitoring. 3S has no general obligation to monitor the information stored and does not assume one (Law No. 284/2004, Art. 14(3); Regulation (EU) 2022/2065, Art. 8). We act on a notice, on an order from an authority or when we otherwise learn of unlawful information, following the rules on the page referred to in 6.4. To assess a notice or an order, the Client instructs 3S (DPA, Art. 4.1) to access the specific information concerned, only to the extent necessary for the decision.

6.6 Personal data. For the personal data in the Client Documents, the Client is the controller and 3S is the processor; the DPA applies. For the data of Users and of the Client's representatives (account, contract, invoicing), 3S is the controller; the Privacy policy applies. A Client established in a State other than the Republic of Moldova, a Member State of the European Union or a State of the European Economic Area may use the Service only after a separate written agreement on the regime applicable to personal data (DPA, Art. 1.7).

7. The AI assistant

7.1 What it is. The assistant's answers are generated automatically by an AI system. They may be incomplete, wrong or imprecisely worded, especially with poor scans, handwriting, figures, dates and proper names. 3S does not guarantee that an answer is correct or complete.

7.2 Checking. The Client checks the cited document before relying on an answer and is responsible for the decisions it takes on the basis of it. The assistant does not give legal, accounting or tax advice.

7.3 Prohibited uses. Without 3S's written consent, the Client does not use the Service as a component of a system intended for a use listed in Annex III to Regulation (EU) 2024/1689, for example selecting and evaluating job candidates or assessing the creditworthiness of natural persons. The Client does not rely on the assistant's answers as the sole basis for a decision with legal effects on a person (Regulation (EU) 2016/679, Art. 22).

7.4 Data and AI models. AI models process the Client Documents only to provide the Service, under the DPA. The provider that runs the models appears on the sub-processor list before it receives documents; the model providers do not receive the documents. The assistant's limits and the notices shown in the interface are on the Artificial intelligence in 3S services page.

8. Prices, invoicing, payment

8.1 The price. The price and its structure, meaning what is charged, are those in the offer, in euros (EUR). The indicative prices of the Starter, Pro, Business and Enterprise plans are published on the Pricing page; they are for information only and do not bind 3S (4.1). The offer is requested at contact@3s.md. Prices do not include VAT or other taxes unless the offer says otherwise. Where applicable, VAT is charged under the applicable law.

8.2 Invoicing and payment. The invoice is issued and sent electronically, on the same day, to the email address in the Account. It is paid by bank transfer within 14 days of the date of the invoice. Subscriptions are paid in advance, for the billing period in the offer.

8.3 Late payment. Late payment bears the default interest provided by Art. 942 of the Civil Code and the minimum compensation for recovery costs provided by Art. 945, equal to the lei equivalent of EUR 40 at the National Bank of Moldova rate on that day. The right to damages for the part not covered by them remains unaffected (Art. 945(2)).

8.4 Bank charges. The charges of the Client's bank are borne by the Client, so that 3S receives the full invoiced amount.

8.5 Price increases. The price is not increased during a contract period, other than by increases in taxes or duties imposed by law. 3S may increase the price for the period following a renewal, by a notice sent at least 60 days before the renewal. A Client that does not accept the increase refuses the renewal by the notice in 9.2, and the contract ends at the end of the current period, without penalty.

9. Term, renewal, termination

9.1 Term. The initial term is the one in the offer. If the offer does not say otherwise, it is 12 months from acceptance.

9.2 Renewal. At the end of the initial term, the contract renews for successive periods of 12 months each or, if the initial term is shorter, equal to it. The Client may refuse renewal by a notice sent at least 30 days before the end of the current period, and 3S by a notice sent at least 60 days before.

9.3 Termination by the Client. The Client may terminate the contract at any time, on 30 days' notice, by written notice, including by email. The contract ends on the date stated by the Client, but not before the notice has expired and, if the Client switches to another provider, not before the switching is completed (section 15). The Client owes the fees up to termination. Fees paid in advance for the period after termination are refunded pro rata, except for the early termination penalty in the offer, if the offer provides one for the initial term (Regulation (EU) 2023/2854, Art. 29(4)).

9.4 Termination by 3S, without cause. 3S may not terminate the contract without cause during a current period. It may terminate it at the end of the period, by refusing renewal under 9.2, on at least 60 days' notice.

9.5 Termination for breach and other causes. Either party may terminate the contract if the other party commits a fundamental breach (Civil Code, Art. 916) and does not remedy it within 30 days of a notice describing it (Art. 917). Termination is effected by notice. 3S may also terminate the contract by notice, without a notice period and without a remedy period, if:

  • an invoice remains unpaid after the additional period in 10.2 (Art. 917);
  • the Client or the Users use the Service unlawfully or seriously breach the acceptable use rules;
  • the Client becomes insolvent;
  • the law or an authority prohibits the provision of the Service.

Fees paid in advance for the period after termination are refunded pro rata, except where the termination is due to the Client's fault.

9.6 Effects of termination. On termination, the Client extracts its data and 3S deletes it under the rules in section 15. The clauses that by their nature continue remain in force: confidentiality, liability, payment of sums due, switching and deletion of data, governing law and courts.

10. Suspension and restrictions

10.1 Cases. 3S may suspend, in whole or in part, access to the Account, or may restrict information, in any of the following situations:

  • the Client does not pay (10.2);
  • information is unlawful or breaches the acceptable use rules;
  • there is a serious risk to the security of the Service or of other clients;
  • a court or an authority requires it.

10.2 Non-payment. For non-payment, 3S may suspend access (Civil Code, Art. 914) after a written notice granting the Client an additional period of 10 days to pay. Access is restored on payment. Suspension does not prevent the export of exportable data (section 15).

10.3 Proportionality and statement of reasons. Measures are proportionate and limited to what is necessary. If we restrict information, suspend or terminate the Service in whole or in part, or close an Account because the information is unlawful or breaches these terms, we send the Client, at the latest on the date of the restriction, a statement of reasons, in the form described on the page referred to in 6.4 (Regulation (EU) 2022/2065, Art. 17).

10.4 Challenge. The Client may ask for the decision to be reviewed under the procedure on the same page and may apply to a court at any time.

11. Confidentiality

11.1 Each party keeps confidential the non-public information it receives from the other in connection with the contract, including the Client Documents, the prices in the offer and technical and security information, and uses it only for the contract.

11.2 Exceptions. Information is not confidential if it becomes public through no fault of the party that received it, if that party already knew it, if it was lawfully received from a third party or if it was developed independently. A party may disclose information when the law, a court or an authority requires it; it informs the other party beforehand, if the law allows, and discloses only what is required.

11.3 Who may know it. The information is disclosed only to employees, consultants, subcontractors and auditors who need to know it and are bound by a confidentiality obligation.

11.4 Duration. The obligation lasts for the duration of the contract and 3 years after its termination. For the Client Documents and for personal data it lasts as long as 3S holds them.

12. Intellectual property

12.1 The platform. The platform, code, interface, documentation, databases and other elements of the Service are protected by copyright and other rights and remain those of their holders. The Client receives the non-exclusive, non-transferable right to use the Service for its business, within the limits of the offer, for the duration of the contract.

12.2 What the Client does not do. The Client does not sell, rent or assign the Service or access to it; does not decompile the application or try to discover its source code, except where the law expressly permits; does not circumvent limits or security measures; and does not use the Service to build a product that replaces it.

12.3 Name and logo. The Client does not use the name, logo or other signs of 3S in communications to third parties without 3S's written consent. 3S does not use the Client's name or logo as a reference without its written consent.

12.4 Results. The Client may freely use the answers generated from the Client Documents, subject to third-party rights in the documents.

13. Liability

13.1 What is not limited. No provision of the contract excludes or limits a party's liability for acts committed intentionally or through gross negligence (Civil Code, Art. 905), for death or personal injury, or any other liability that cannot be excluded or limited under the law.

13.2 Foreseeable damage. Each party is liable only for the damage that it foresaw, or could reasonably have foreseen, at the time of concluding the contract as a probable result of the non-performance, except in the case of intent or gross negligence (Civil Code, Art. 937).

13.3 The cap. The total liability of 3S to the Client for all claims arising from the contract is limited, for each 12-month period, to the fees paid or owed by the Client for the 12 months before the event that caused the damage. If the event occurs in the first 12 months of the contract, the limit equals the fees for the first 12 months. The cap applies to the extent permitted by law and does not affect 13.1.

13.4 Personal data. The cap in 13.3 and the other limitations of liability in this section do not apply in the cases in Art. 15.2 of the DPA: liability to data subjects (Regulation (EU) 2016/679, Art. 82; Law No. 195/2024, Art. 76), liability for breach of the standard contractual clauses in Annex 2 to the DPA, and damage caused intentionally or through gross negligence. Otherwise, liability for breach of the DPA follows the rules in this section.

13.5 The Client's liability. The Client is liable to 3S for damage caused by a breach of these terms or of the law by it or by the Users, including for third-party claims relating to the Client Documents.

13.6 Impediments. A party is not liable for non-performance of an obligation caused by an impediment beyond its control, which it could not reasonably have been expected to avoid or overcome and which it could not reasonably have been expected to take into account at the time of concluding the contract (Civil Code, Art. 904(1) and (2)). It notifies the other party within a reasonable time (Art. 904(5)). The impediment does not excuse payment of sums due.

14. Changes to the terms and to the Service

14.1 The terms. 3S may change these terms only for one of the following reasons:

  • a change in the law or a requirement of an authority;
  • a measure necessary for the security of the Service or of the data;
  • a change in the rules or availability of a third-party provider on which the Service depends, for example an AI model, text recognition or hosting;
  • an improvement or clarification that does not reduce the Client's rights.

The new terms apply to the Client 30 days after 3S has announced them by email. Changes that the law requires to take effect immediately apply from the date the law sets. By accepting these terms, the Client gives its advance consent to changes made under these conditions, subject to the right in 14.2.

14.2 The right to terminate. If a change reduces the Client's rights or increases its obligations, the Client may terminate the contract without penalty, by a notice sent before the change applies. The contract ends on the date on which the change would have applied, and fees paid in advance for the following period are refunded pro rata.

14.3 The Service. 3S may change the functions of the Service for the same reasons. During a contract period we do not materially reduce the functions in the offer without giving the Client the right in 14.2.

14.4 Applicable version. The contract is governed by the version accepted by the Client, with the changes that entered into force under 14.1. We keep earlier versions and send them on request.

15. Switching and data export

15.1 Scope. This section implements Chapter VI of Regulation (EU) 2023/2854 (the Data Act) and applies to all Clients, regardless of country. Terms defined in the regulation have the meaning given in the regulation.

15.2 The Client's right. On request, the Client may, after the notice period in 15.3 has expired:

  • switch to a data processing service offered by another provider;
  • switch to an on-premises ICT infrastructure;
  • erase the exportable data and digital assets (Art. 25(3)).

The Client notifies us of its decision and, if it switches to another provider, gives us the necessary details about that provider.

15.3 Notice and transition. The notice period for initiating switching is 30 days, below the legal maximum of 2 months (Art. 25(2)(d)). After the notice, a transitional period of at most 30 calendar days begins. During this period the contract remains applicable and 3S:

  • provides reasonable assistance to the Client and to third parties authorized by it;
  • acts with due care to maintain business continuity and continues to provide the Service;
  • informs the Client clearly of known risks to continuity;
  • maintains a high level of security, in particular for the data during transfer and during the retrieval period.

15.4 Technical unfeasibility. If the 30-day transition is unfeasible for technical reasons, 3S notifies the Client within 14 working days of the switching request, justifies the unfeasibility and indicates an alternative transitional period of at most 7 months, with continuity of the Service. The Client may extend the transitional period once, for a period it considers appropriate (Art. 25(4) and (5)).

15.5 Exit strategy. 3S supports the Client's exit strategy for the contracted services and gives it all relevant information (Art. 25(2)(b)).

15.6 Termination of the contract. The contract is considered terminated, and the Client is notified, on the successful completion of the switching or, if the Client does not want to switch but to erase its data, at the end of the notice period (Art. 25(2)(c)).

15.7 Exportable data and digital assets. The following can be ported:

  • all exportable data, meaning the input and output data, including metadata, directly or indirectly generated by the Client's use of the Service (Art. 2(38)). To the extent that they are generated and kept in the Account, they comprise: the Client Documents in the form uploaded, their metadata, the text extracted from them, the labels and structures created by the Client, the history of the assistant's questions and answers, and the Account's activity log;
  • digital assets, meaning elements in digital form, including applications, over which the Client has a right of use independent of the contract with 3S (Art. 2(32)).

Because there is a risk of breach of the trade secrets of 3S or of third parties, three categories of data specific to the internal functioning of the Service are not exported: the parameters and weights of the AI models, internal system instructions and the internal structures of the search index. The exemption does not impede or delay switching (Art. 25(2)(e) and (f)).

15.8 Data retrieval. After the end of the transitional period or, if the Client does not switch to another provider, after termination of the contract, the Client has at least 30 calendar days to extract its data (the retrieval period), extendable by agreement. At the Client's request, 3S exports all exportable data in a structured, commonly used and machine-readable format (Art. 30(5)). The switching procedures, the available methods and formats, the known technical restrictions and the online register with the data structures and formats are in the switching and export register, which 3S publishes on the website before the first contract is concluded (Art. 26).

15.9 Erasure. After the retrieval period has expired, if the switching has been completed successfully or the Client has chosen erasure, 3S erases from its active systems, within at most 30 days, the exportable data and digital assets generated directly by the Client or relating directly to the Client, except the activity log of the Account and the data that the law obliges us to keep. Documents for which the Client has set a retention period in the Service are kept until that period ends, even after termination, and 3S continues to protect them under these terms and the DPA. 3S keeps the activity log of the Account for at most 3 years from termination of the contract, solely for the establishment, exercise or defense of legal claims, and then erases it. For this retention 3S is the controller, on the basis of legitimate interest (Law No. 195/2024, Art. 6(1)(f); Regulation (EU) 2016/679, Art. 6(1)(f)). Backup copies expire through their rotation, within at most 90 days of the erasure of the data from the active systems. On request, we confirm the erasure in writing (Art. 25(2)(g) and (h)). For personal data, Art. 13 of the DPA also applies.

15.10 Charges. 3S does not impose switching charges: neither the reduced charges that the law allows until January 12, 2027, up to direct costs, nor any others (Art. 29). The standard fees of the Service remain due until termination, and the early termination penalty, if any, is the one in the offer, communicated to the Client before the contract (Art. 29(4)). Additional services that the Client requests beyond the switching obligations, for example conversion into a special format, are provided for a fee, at a price agreed in advance (recital 89).

15.11 Infrastructure and international access. The jurisdiction to which the ICT infrastructure used for the Service is subject is published in the Security and data location section of the website, which the parties incorporate into the contract for this purpose (Art. 28). 3S will add to the same section, before the first contract is concluded, the description of the technical, organizational and contractual measures against unlawful international governmental access to or transfer of non-personal data.

16. Governing law and dispute resolution

16.1 Law. The contract is governed by the substantive law of the Republic of Moldova. The standard contractual clauses in Annex 2 to the DPA, which apply to clients established in the European Union or in the European Economic Area, are governed by the law provided in the DPA, Art. 17.2.

16.2 Amicable resolution. The parties first try to resolve the dispute amicably. The party raising a dispute describes it in a written notice, and the parties discuss for 30 days from its receipt. The discussion does not prevent a party from seeking urgent or interim measures.

16.3 Courts. Disputes arising from or in connection with the contract, including non-contractual obligations connected with the contract, if they involve a foreign element, are resolved exclusively by the courts of the Republic of Moldova, specifically the Chișinău Court (Judecătoria Chișinău), in accordance with the Hague Convention of 30 June 2005 on Choice of Court Agreements. Disputes without a foreign element are resolved under the rules of jurisdiction of the Code of Civil Procedure; the place of performance of the obligations is the registered office of 3S. Disputes concerning the standard contractual clauses in Annex 2 to the DPA are resolved under the DPA, Art. 17.2.

16.4 Consumers. If a dispute concerns a person who turns out to be a consumer, the clause in 16.3 does not apply to the extent that the law protects that person.

17. Language

17.1 These terms, the offer and the DPA exist in Romanian and in English. The contract can be concluded in either, at the Client's choice.

17.2 If the versions differ, the version in the language in which the Client accepted the contract prevails. If it accepted both, the Romanian version prevails in disputes settled by the courts of the Republic of Moldova or of Romania.

18. General provisions

18.1 Notices. Notices between the parties are made in writing, including by email, to the addresses in the offer and in the Account; for 3S, to contact@3s.md. A notice sent by email is deemed received on the working day following dispatch, unless an earlier date is proved.

18.2 Commercial messages. We send the Client service messages: invoices, security notices, announcements of changes. We send marketing messages only if the Client has given separate consent, which it can withdraw at any time (Law No. 284/2004, Art. 22).

18.3 Assignment. The Client does not assign the contract without 3S's written consent. 3S may assign the contract to a company it controls or, through merger or other reorganization, to its successor, if the assignment does not adversely affect the Client's rights (Civil Code, Art. 1077(1) point 15). Use of subcontractors is not an assignment.

18.4 Entire agreement. The contract contains everything the parties have agreed and replaces earlier discussions and correspondence. Its amendments, other than those in section 14, are made in writing.

18.5 Partial invalidity. If a clause is void or unenforceable, the others remain valid, and the clause is replaced by the closest valid clause.

18.6 Waiver. A party's failure to exercise a right does not mean that it waives it.

18.7 Contact. We receive questions about these terms at contact@3s.md.
